Terms & Conditions

By creating an account and using Our Block, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you do not agree to these terms, please do not use our services.

To maintain the safety and authenticity of our community:

a. Phone Number Requirements

By providing your phone number to Our Block, you represent and warrant that:

• The phone number is accurate and current
• You will promptly update your phone number in your account settings if it changes, to prevent messages intended for you from being delivered to a new subscriber of that number
• You consent to receive service-related communications via SMS/text message, including account verification codes, neighborhood alerts, and platform notifications

b. SMS Marketing Consent

By checking the consent box during registration, you separately and expressly consent to receive marketing text messages from Our Block. The specific consent language you agreed to at registration is as follows:

"By checking this box, you consent to receive marketing texts from Our Block at the number above, and agree that messaging may be sent using an automated system or other messaging technology. Message and data rates may apply. Message frequency varies. Reply HELP for help and STOP to opt out. For more information, see our Terms and Conditions."

Consent to marketing text messages is not a condition of purchasing any goods or services. You may opt out of marketing text messages at any time by replying STOP to any marketing text message from Our Block. You may also update your communication preferences in your account settings. Even after opting out of marketing texts, you may continue to receive non-marketing, transactional, and service-related text messages related to your account and block activity.

c. Text Message Program Terms

By using Our Block and providing your phone number, you agree to the following with respect to all text message communications from Our Block:

• Our Block may send text messages using an automated system or other messaging technology, including an automatic telephone dialing system (ATDS)
• Message and data rates may apply based on your mobile carrier plan. Our Block is not responsible for charges imposed by your carrier
• Message frequency varies depending on your account activity, block activity, and notification preferences
• To receive help with text messages, reply HELP to any Our Block text message
• To opt out of marketing text messages, reply STOP to any Our Block marketing text message. You will receive one final confirmation message and then no further marketing texts
• Our Block does not guarantee that text messages will be delivered. Delivery may be affected by your device, network coverage, carrier systems, terrain, weather, and other factors beyond our control
• Text message notifications are not a substitute for emergency services. Do not rely solely on Our Block text messages in an emergency
• Our Block is not liable for any damages or losses arising from your use of text message notifications or your inability to receive them

d. Account Limits and Security

Each individual is limited to one account per residence. Each business is limited to one account per business location. You are responsible for maintaining the security and confidentiality of your account. You are responsible for all activity that occurs under your account and must notify us immediately of any suspected unauthorized use.

Subject to your ongoing compliance with these Terms, Our Block grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services as described herein. This license is not a sale of the Services or any portion thereof. Our Block retains all rights, title, and interest in and to the Services.

a. Your Content

Our Block allows Members to submit, post, upload, and share content such as profile information, photos, comments, recommendations, messages, and other materials ("Member Content"). You retain ownership of your Member Content.

b. License to Our Block

By submitting Member Content, you grant Our Block a non-exclusive, transferable, sublicensable, royalty-free, perpetual, worldwide license to host, use, distribute, modify, copy, publish, translate, publicly display, publicly perform, and create derivative works of your Member Content for the purpose of operating and improving the Services. We will exercise these rights consistent with your account settings and our Privacy Policy.

You represent and warrant that you own your Member Content or have all necessary rights, licenses, and permissions to grant Our Block the rights described above.

c. License to Other Members

You also grant each Member of the Services a non-exclusive license to access and use your Member Content as permitted through the functionality of the Services.

d. Use in Sponsored Content

You give us permission to use your name, neighborhood designation, block identifier, profile photo, and information about your interactions with the Services in connection with sponsored content, advertisements, and promotional materials displayed on the Services. We will use your information in compliance with applicable data protection laws and our Privacy Policy.

e. Feedback

If you share feedback, ideas, or suggestions with us, you grant Our Block an unrestricted, perpetual, irrevocable, royalty-free right to use such feedback in any manner and in connection with any of our products or services, without any obligation or compensation to you.

f. Content Sharing Restrictions

You may share content from Our Block using our designated sharing features. Unauthorized copying, redistribution, scraping, or reproduction of Our Block content by any other means is strictly prohibited.

a. Community Guidelines

Our Block is built on the principle that strong local communities are the foundation of thriving neighborhoods. All use of the Services is subject to Our Block's Community Guidelines, which are incorporated into these Terms by reference. We reserve the right to remove content, suspend, restrict, or terminate accounts that violate our Community Guidelines or these Terms.

b. Prohibited Conduct

You agree that you will not, under any circumstances:

• Gain or attempt to gain unauthorized access to any part of the Services or another Member's account
• Interfere with, disrupt, or damage the Services, including by posting viruses, initiating denial-of-service attacks, or sending unsolicited messages
• Scrape, crawl, or otherwise extract data from the Services using automated means, including for use in artificial intelligence or machine learning systems
• Conduct facial recognition, biometric analysis, or other unauthorized processing of content or images posted on Our Block
• Use the Services to build a competing product or service
• License, sell, transfer, or commercially exploit the Services or any content obtained from the Services
• Reverse engineer, decompile, disassemble, or attempt to circumvent any security measure of the Services
• Use the Services in any unlawful manner or in violation of these Terms

c. Disputes Between Members

Our Block is not responsible for the actions, conduct, or content of its Members. If you have a dispute with another Member, we encourage you to resolve it directly. You agree that Our Block has no responsibility for disputes between Members and, to the maximum extent permitted by law, you release Our Block from any and all claims arising from such disputes.

a. Member Responsibility

Our Block facilitates connections between residents and local businesses but is not a party to any transaction, sale, or agreement between Members or between Members and local businesses. You are solely responsible for your decisions and actions on the Services.

b. No Endorsement

Our Block does not interview, vet, background-check, or supervise businesses or Members listed on the platform. Listing or appearing on Our Block does not constitute an endorsement by Our Block. You should exercise appropriate due diligence before engaging with any business or individual you discover through the Services.

c. Prohibited Transactions

You may not use the Services to collect personal information from other Members without their explicit consent, or to solicit Members for commercial purposes in violation of Our Block's Community Guidelines.

d. Our Block as Venue Only

Our Block provides a platform and venue for local connection. We make no guarantees regarding the quality, safety, legality, or accuracy of any goods, services, listings, or content provided by Members or businesses on the platform. Our Block is not liable for any claim, injury, or damage arising in connection with Member transactions or interactions.

a. Service Notifications

By creating an account, you agree to receive service-related communications from Our Block, including account verification messages, block activity alerts, neighborhood updates, and platform notifications. These communications are necessary for the operation of your account and may not be fully opted out of while you maintain an active account.

b. Marketing Communications

Marketing text messages and promotional communications are optional and require your separate, explicit consent (see Section 2b). You may opt out of marketing communications at any time by replying STOP to any marketing text message or by adjusting your preferences in your account settings.

c. Block Leader Communications

Your Block Leader — the designated community liaison for your block — may send block-level communications through the Services. These communications are sent by your Block Leader, a volunteer community member, and not directly by Our Block. Our Block is not responsible for the content of Block Leader communications, though all communications must comply with Our Block's Community Guidelines.

d. Carrier Charges

Standard message and data rates may apply to all text message communications from Our Block, based on your mobile carrier plan. Our Block does not charge separately for text message communications, but we are not responsible for charges imposed by your carrier.

a. Block Leaders

Block Leaders are volunteer community members designated to serve as the primary liaison and local voice for their specific block on the Our Block platform. Block Leaders are not employees, contractors, or agents of Our Block. Our Block is not responsible for the actions or conduct of Block Leaders acting in their volunteer capacity.

b. Community Coordinators

Community Coordinators are market-level volunteers or liaisons who support Block Leaders and facilitate platform operations across a defined geographic market. Community Coordinators are not employees, contractors, or agents of Our Block.

c. Volunteer Conduct Standards

If you serve as a Block Leader or Community Coordinator, you agree that:

• You are acting in a volunteer capacity and are not an employee or contractor of Our Block
• You may not represent yourself as authorized to act on behalf of Our Block
• You may not enter into agreements with third parties on behalf of Our Block
• You may not perform your volunteer duties in exchange for compensation, gifts, or favors from third parties
• If you have access to non-public information through your volunteer role, you will use such information solely in connection with your volunteer duties

Our Block reserves the right to revoke or modify any volunteer's access or designation at any time, with or without notice, for any reason.

Our Services may contain links to or integrations with third-party websites, platforms, and services. Our Block does not endorse or assume any responsibility for third-party content, products, or services. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

Our Block may add, modify, or discontinue features and services at any time, with or without notice. If you are dissatisfied with any change to the Services, your sole remedy is to stop using the Services and deactivate your account.

The collection, use, and sharing of your personal information — including your phone number — is governed by Our Block's Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to Our Block's collection and use of your information as described in the Privacy Policy. Our Block will handle your phone number and any associated data in compliance with applicable federal and state laws, including the Telephone Consumer Protection Act (TCPA) and applicable state privacy laws.

You agree to defend, indemnify, and hold harmless Our Block and its affiliates, officers, directors, employees, agents, partners, and licensors (collectively, the "Our Block Entities") from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; (d) your violation of any rights of another Member or third party; (e) your interactions or transactions with other Members or businesses; or (f) your Member Content. The provisions of this section survive termination of your account or these Terms.

a. No Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Our Block does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Your use of the Services is at your own risk.

b. Limitation of Liability

To the maximum extent permitted by applicable law, the Our Block Entities shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Services. In no event shall Our Block's aggregate liability exceed the greater of (a) the total amount paid by you to Our Block in the six-month period prior to the claim, or (b) one hundred U.S. dollars ($100).

c. Member Conduct

Our Block is not responsible for the conduct of any Member, Block Leader, Community Coordinator, business, or other third party, whether online or offline. Our Block does not verify the accuracy of Member Content or business listings.

d. Text Message Liability

Our Block is not liable for any failure to deliver text messages in a timely manner or at all. Text message delivery may be interrupted or delayed due to factors beyond Our Block's control, including network outages, carrier issues, device limitations, geographic constraints, and weather. Text message notifications are not intended to replace primary emergency communication services.

a. Informal Resolution

If a dispute arises between you and Our Block, we encourage you to contact us first to attempt informal resolution. Please send a written notice to legal@ourblock.com describing: (1) your name and phone number; (2) your account information; (3) the nature of your claim; and (4) the relief you seek. We will attempt to respond within 30 days.

b. Binding Arbitration

If informal resolution is unsuccessful, you and Our Block agree that any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, rather than in court, except as provided below. This arbitration agreement applies to all claims regardless of legal theory.

c. Exceptions to Arbitration

The following claims are not subject to binding arbitration and may be brought in a court of competent jurisdiction:

• Claims eligible for small claims court (subject to applicable monetary limits)
• Requests for emergency temporary or preliminary injunctive relief pending arbitration
• Claims alleging violations of the Computer Fraud and Abuse Act
• Claims for infringement or misappropriation of intellectual property rights

d. Arbitration Rules & Process

Arbitration shall be conducted by a recognized alternative dispute resolution provider, pursuant to its then-current rules. The arbitrator shall have authority to grant any remedy available in court on an individual basis. The arbitrator's award shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction.

e. Class Action Waiver

All claims must be brought on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

f. Governing Law

These Terms shall be governed by the laws of the state in which Our Block is incorporated, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the courts in that state.

g. 30-Day Right to Opt Out

You may opt out of this arbitration agreement by notifying Our Block in writing within 30 days of first accepting these Terms. Written notice must be sent to legal@ourblock.com with the subject line "Arbitration Opt-Out." Opting out of arbitration does not affect any other provision of these Terms.

a. Term & Termination

These Terms are effective from the date you accept them and remain in effect as long as you use the Services. You may terminate these Terms by deactivating your account and ceasing use of the Services. Our Block may suspend or terminate your account at any time for any reason, with or without notice.

b. Updates to Terms

Our Block reserves the right to update these Terms at any time. We will notify you of material changes via text message, email, or in-app notification. Continued use of the Services after the effective date of updated Terms constitutes your acceptance of the updated Terms.

c. No Agency

These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and Our Block.

d. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

e. Entire Agreement

These Terms, together with Our Block's Privacy Policy, Community Guidelines, and any supplemental terms, constitute the entire agreement between you and Our Block with respect to the Services and supersede all prior agreements or understandings.
